Flexis Studio provides creative design services including web design, Framer development, brand identity, and strategy and UX consulting. The specific scope, deliverables, timeline, and pricing of any project are agreed upon in writing before work begins, typically through a project proposal and signed agreement.
These Terms of Service apply broadly to our relationship with you. Project-specific terms are outlined in individual project agreements, which take precedence over these general terms where they conflict.
3. USING OUR WEBSITE
When using the Flexis Studio website, you agree to:
Use the website only for lawful purposes
Not attempt to gain unauthorised access to any part of the website or its infrastructure
Not use the website to transmit harmful, offensive, or disruptive content

Project deliverables: Ownership of final project deliverables transfers to the client upon receipt of full payment, as outlined in the individual project agreement. Until full payment is received, all work remains the intellectual property of Flexis Studio.
5. PROJECT ENGAGEMENTS
Proposals and agreements: All project work begins with a written proposal outlining scope, timeline, deliverables, and pricing. Work commences only after the proposal has been accepted and a deposit has been received.
Deposits: We require a deposit before beginning any project. The deposit amount is specified in the project proposal and is non-refundable once work has begun.
Revisions: The number of revision rounds included in a project is specified in the project proposal. Revisions requested beyond the agreed scope may be subject to additional fees.
Client responsibilities: Timely delivery of feedback, content, and approvals is essential to keeping projects on schedule. Delays caused by the client may result in timeline adjustments or additional fees.
Cancellations: If a project is cancelled after work has begun, the client is responsible for payment of all work completed up to the point of cancellation. The deposit is non-refundable in all circumstances.
6. PAYMENT TERMS
Invoicing: Invoices are issued in accordance with the payment schedule outlined in the project agreement, typically a deposit upfront and the balance due on or before delivery.
Payment methods: We accept bank transfer and major credit cards. Accepted currencies and payment methods are confirmed at the proposal stage.
Late payments: Invoices are due within 14 days of issue unless otherwise agreed. Late payments may incur an interest charge of 2% per month on the outstanding balance. We reserve the right to pause work on any project with outstanding invoices.
Disputes: If you believe an invoice is incorrect, please contact us within 7 days of receipt. We will review and resolve any genuine discrepancies promptly and fairly.
7. CONFIDENTIALITY
Both parties agree to keep confidential any sensitive business information shared during the course of a project. We will not share your project details, business information, or strategic content with any third party without your explicit consent.
8. WARRANTIES AND LIABILITY
What we guarantee: We are committed to delivering high-quality, professional work in accordance with the agreed project scope. We will communicate proactively if anything arises that may affect the timeline or deliverables.
What we don't guarantee: While we design for performance and conversion, we cannot guarantee specific business outcomes, such as a defined increase in leads, revenue, or traffic, as these depend on factors beyond our control.
Limitation of liability: To the maximum extent permitted by law, Flexis Studio's total liability in connection with any project or use of our website shall not exceed the total fees paid by the client for the relevant project. We are not liable for any indirect, incidental, or consequential damages arising from our services or website.
9. THIRD-PARTY TOOLS AND PLATFORMS
Our services may involve the use of third-party platforms including Framer, Figma, and others. We are not responsible for changes to third-party platforms that affect the functionality or appearance of delivered work after handoff. We will always recommend platforms that we believe to be stable and appropriate for the project at hand.
10. GOVERNING LAW
These Terms of Service are governed by the laws of the State of New York, United States. Any disputes arising from these terms or our services will be subject to the exclusive jurisdiction of the courts of New York.
